How does the Chamber of Crafts and Crafts help you take over a craft company?

For this 7e number of Meeting with, we went to the meeting of Nicolas SINOQUET, adviser transmission to the Chambre des Métiers et de l’Artisanat (CMA) Grand-Est. With him, we talked about how he helps entrepreneurs with their company takeover project.

When can someone turn to you for their recovery project?

We support 2 types of buyers:

  • the first-time buyers: often people who are conversion (including frames) or of employees in the trade. Indeed, for small structures, a good mastery of technical competence matters as much, if not more, than the amount of the contribution to make a project a reality (hairdressers, butchers, buildings, etc.);
  • the already settled leaders wishing to develop their business through a external growth, on their core business or on a related business.

We accompany the buyer at all stages in order to secure your project :

  • is the target company the right price?
  • what legal form should be chosen?
  • what aid is available?

Some buyers, more advanced in their thinking, come to us to a neutral opinion. The plurality of points of view is always welcome to secure the project.

What are your main accompaniments?

Depending on the stage of progress of the project, we will help the buyer:

  • target a company through monitoring our transferor databases, such as Joint Ventureand, where appropriate, to relate it to a confidentiality commitment on the part of the purchaser;
  • to make a forecast and place the transferee in the skin of a head of company. The objective is to rationalize the price, ensure that the financing plan is balanced and that the company will be able to repay the borrowing;
  • to draw up financing and/or aid dossiers with the creation/takeover partners such as Initiative France's 0-interest loan and the files of resignation and conversion (France Travail) for persons who have been employed for more than 5 years.

We also let buyers know about areas of focus such as:

  • to ensure that professional qualifications are respected in particular if the proposed activity is regulated;
  • monitor transmission mode : shares or goodwill, the implications are different (study of the target, setting up of the takeover file);
  • ensuring the validity of the commercial lease : the commercial premises are a core element of a company, and it must be ensured that the purchaser can continue to operate under the same conditions (e.g. rent). However, at the time of transmission, many leases were not resigned and are being "tacitly renewed", making the goodwill difficult to sell. 2 options: ask the transferor to sign a new lease or negotiate directly with the owner of the walls a draft lease, annexed to the takeover project, to reassure the banks.

Do you have an example of a accompanied company?

Yes, in 2018, I met a 57-year-old executive who was considering selling his plumbing and heating company. Finally, after a diagnosis and a reflection time, he preferred to postpone to better prepare his transmission. After COVID, he came back to me with the goal of selling. We put out an announcement and initial contacts were made. Among them, a young self-entrepreneur (micro-entrepreneur) of 25 years, recently passed in SARL for his activity of plumbing heating.

When the two met, they quickly got along very well. I worked with them together to carry out this transmission-recovery project. With the buyer, we established a first draft of the forecast, then validated by an accountant to get a second opinion.

The transferor was recruited by the transferor for a period of six months in order to facilitate the take-over. Finally, four years later, the transferor is still working with him and the buyer recently contacted me again to take over a new company in order toextend its area of intervention.

This example is not an exception. In the process of recovery, there is a great place for the human being: the meeting of a career and a new impetus!
