State aid fraud: penalty for non-registration with the NNE

The Law of 30 June 2025 against all State aid fraud introduces a sanction against companies not registered in the National company Register (NCR).

Up to now, as regards the registration of companies, the law only punished the act of giving, in bad faith, inaccurate or incomplete indications with a view to registration, a change in his situation or the removal from the RNE (fine of € 4,500 and imprisonment of 6 months). Non-registration was therefore not punishable by the Commercial Code.

The law of 30 June 2025 against all State aid fraud therefore makes it an offense for commercial, craft or self-employed companies not to register with the RNE.

This infringement shall be punished by an administrative fine of €7,500.

This measure has several objectives:

  • combating ephemeral companies;
  • avoid concealed work;
  • prevent professionals who do not have the required qualifications or who are subject to prohibitions from managing or building a company.
