National Register of companies (RNE): corrections and new features

A decree of 17 October 2023 lays down new rules for the entry and correction of information entered in the National Register of companies (RNE).

Registration of groups without legal personality

Registration for the NHS is now possible for:

  • de facto businesses (businesses resulting from a situation in which persons act de facto as partners);
  • participating businesses (businesses in which the partners wish to set up a business but have chosen not to register);
  • the divisions.

These groupings will have to provide the NNE with the following information:

  • name, legal form and address;
  • description of the main activity;
  • name, surname, pseudonym, given names, date and place of birth, nationality, personal address and telephone and electronic contact details of the natural persons making it up (subject to their agreement);

Of additional information are to be provided where the grouping in question includes legal persons.

Device for updating the SCN in the event of a craft activity

In the case of companies engaged in artisanal activities who are required to register with the RCS and the RNE on registration or amendment, the registrar shall register in the RCS the activity which the company declares to be engaged in.

At the end of a period of one month following such registration, he shall consult the information relating to that company within the RNE in order to check that the activity in question has been registered as validated by the President of the competent chamber of trades and crafts. If this activity has not been validated, the Registrar shall of his own motion delete the reference to it in the SCN and inform the registered person thereof.

If this activity is the only one performed by the company, it will be listed in the SCN without activity. The Registrar shall follow the same procedure when he is informed of the withdrawal of the activity within the NNE.

The decree of October 17, 2023 provides for other new provisions:

  • companies listed in the NCR may request the rectification of their data when they find a discrepancy between the information and material listed in the NCR and that in the NCR or in the National Directory of companies and their establishments. This request is made to the INPI;
  • where the registry holder is unable to obtain the information missing from the NNE due to a technical impossibility, the person (natural or legal) registered in the NNE on 1er January 2023 by taking over the information and documents from existing registers must declare this information prior to or at the same time as its application for a modification to the NIS or for cancelation from the NIS;
  • any natural or legal person subject to the obligation to register with the RNE as a company in the trades and crafts sector who has not yet recruited a professionally qualified employee shall be registered with the words ‘subject to the hiring of a qualified employee’.
