Company creation: formalities for registering a business

Ready to build your business? After you have completed various formalities, including your domicile, you must register your business.
SARLs
It is possible to start your business before registering the business.
For example, it may be necessary to sign a lease or bill future customers.
It is important to indicate on all documents the words "Business in training".
An annexe to the articles of association must also be drawn up indicating all the acts passed before the application for registration.
In this case, the application for registration must be made no later than 30 days that follow the beginning of the activity.
On the other hand, it is also possible to start your business after the application for registration. In this case, the date of commencement of activity must be fixed no later than 15 days after the application for registration.

From 1to January 2023, it is no longer possible to make your paperwork in a company Formalities Centre (CFE). You have to make them on the website of company formalities window.
You must apply for registration at the company formalities office:
You are registered in the National companies Directory (RNE: titleContent) and the Trade and business Register (RCS: titleContent).

You must attach the following documents in PDF format:

Registration of your business in the Commercial and business Register costs €37.45.
In case of double registration in the national register of companies in the category of craftsmen, this costs extra €15.
Once your completed application has been submitted, you will receive a company Creation File Receipt (DCER) with a status of Pending Registration.
This receipt is important because it will allow you to make all necessary representations to public and private organisations. For example, you can subscribe to mandatory insurance and complementary for the company, join a pension fund.
The receipt is valid until you receive a notification from the companies formalities office confirming the registration of the business. The maximum validity period of the receipt is 1 month.
Once you have registered, you will receive a document containing your SIREN number.
If your file is incomplete, you will receive a receipt from the formalities office of the companies from whom you depend that will indicate the missing items to be sent. You will have 15 minutes business days from receipt of receipt to send these items.
SAS/SASU
Registration of your business takes place after certain formalities. These steps can include:
- Formalities related to regulated activities (application for accreditation, diploma, licence)
- Registering actual beneficiaries
- Domiciliation business
- Appointment of a Commissioner of Reports

- If you are engaged in a regulated activity, copy of the authorisation to engage in the activity, diploma or title
- If you have made a purchase of commercial funds, copy of the deed of sale and copy of the certificate of publication in a legal advertising medium of the notice relating to the purchase
- If you have management of the commercial fund, copy of the management lease agreement and of the certificate of publication in a legal advertising medium of the management lease notice
- If you have taken on a commercial fund management mandate, copy of the contract of management mandate and the certificate of publication in a legal advertisement of the notice concerning the management mandate
Documents to be provided for the Director, Executive Director or President:
- Copy of their ID
- Statement on honour of non-conviction and proof of affiliation for each of them (dated and signed)
- If the chairman has not been appointed in the statutes, a copy certified by the chairman of the act designating him
- If the Director General has not been appointed in the statutes, a certified copy by the President of the act designating him
Documents to be provided for the business of Director, Director or President:
- Siren Number the business (or a document certifying its existence if it is not registered)
- If the business is not registered within the European Union, a copy of its statutes translated into French and certified by its permanent representative
- For the Permanent Representative of the business:
- Copy of ID
- Statement on honour non-conviction and proof of affiliation (dated and signed)
- Copy of the deed confirming the place of permanent representative of the business administrator

- For the Permanent Representative of the business:
- Copy of ID
- Statement on honour non-conviction and proof of affiliation (dated and signed)
- Copy of the deed confirming the place of permanent representative of the business administrator
