Creation of a company: formalities for the registration of a micro-company (self-entrepreneur)

There are very few formalities involved in setting up a micro-company. One of them is registration. This is the declaration of activity of the micro-company to the administration.
The application for registration must be made online on the website of the company formalities office, at the earliest 1 month before the start of activity, or within 15 days which follow the date of commencement of activity.
Once registration has been completed, the company is entered in a register. The register differs according to the nature of the activity carried out by the micro-entrepreneur.

Business activity
The micro-company is entered in the National company Register (NCR) and the Trade and businesses Register (SCR).

An entry in the Special Register of Commercial Agents (SFCR) is also made in the event of the exercise in business of the profession ofsales agent.
Craft or professional activity
The micro-company is entered in the National company Register (NCR).
When applying for registration at the company formalities window, a certain amount of information must be provided and the following documents must be attached:
- Entitlement of domiciliation the company with the clearly identifiable address (e.g. water, electricity or gas bill)
- Copy of company project support contract (Cape)
- Documents concerning the contractor:
- Declaration on Honor of non-conviction and proof of filiation dated and signed by the entrepreneur
- Copy of Contractor's ID
- Authentic copy of the declaration on the immunity from seizure of immovable property not used for business purposes
- If the contractor carries out a regulated activity : copy of the authorization to pursue the activity, diploma or title
- If the entrepreneur is married under the community scheme: exemplary signed and dated the certificate of issue of the information given to the spouse on the consequences for the common property of debts incurred in the exercise of the entrepreneur's profession
- If the CIVIL PARTNERSHIP or partner is working with the contractor:
- Attestation on honor on the choice of status (employee, partner or collaborator
- Extract of marriage or CIVIL PARTNERSHIP certificate or birth certificate with mention of the marriage or CIVIL PARTNERSHIP.
- In case of purchase of goodwill: copy of the bill of sale and the certificate of publication in a medium of legal announcements of the notice of purchase
- In case of management leasing of the goodwill : copy of the management leasing agreement and of the certificate of publication in a medium of legal announcements of the notice relating to the management leasing
- In the case of management-mandate of goodwill: copy of the management-mandate contract and of the certificate of publication in a medium of legal announcements of the notice relating to the management-mandate.
- In case of donation : copy of the deed of donation and the right to lease
- In case of inheritance : copy of the notarial deed or inventory, and the right to lease.

If the person who carries out the registration formality is not the contractor, he must attach to the application a copy of the power (authentic instrument or privately signed document) authorizing him to take steps on behalf of the contractor.
Registration is free of charge.
Once the file has been deposited on the company formalities window, the company receives a receipt for the deposit of a company creation file (RDDCE) which includes the words " Waiting for registration ”.
This receipt is important because it makes it possible to carry out all the necessary procedures with public and private organizations. For example, it will be able to subscribe to compulsory insurance and complementary services necessary to the needs of its activity.
The receipt is valid until the receipt of the notification the company formalities window confirming the registration of the micro-company. The maximum period of validity of the receipt is 1 month.
Once the registration has been carried out, the micro-company receives a proof (or certificate) of registration containing its identification numbers (Siren, EPA code...).
If the file is incomplete, the companies’ Formalities Window sends a receipt indicating the missing items. They must then be transmitted within 15 days working days upon receipt of this receipt.
